Growt API — Direct Customer Terms

1. Parties

These Terms ("Agreement") govern direct access to the Growt API platform ("Platform") between Droidtech 42 AI Labs AB, a Swedish company (org. nr. 559534-0745), with registered address at Co. Sandberg Dannemoragatan 4, 113 44 Stockholm, Sweden ("Provider"), and the legal entity or individual who registers for direct API access ("Customer").

2. Service Description

Provider grants Customer access to the Growt API, a platform for structural AI model auditing, transfer validation, distribution shift detection, and deployment readiness analysis. The API is available at [API BASE URL] and documented at [DOCS URL].

This Agreement covers direct API subscriptions only. Customers who access the Platform through a licensed Operator are subject to that Operator's terms, not these Terms.

3. Account and API Keys

• Customer must register an account and provide accurate information.
• Customer is responsible for all API calls made with their API keys.
• API keys must be kept confidential and rotated if compromised.
• Customer must notify Provider immediately of any suspected unauthorised use.
• Shared or re-sold API access is not permitted under this Agreement.

4. Acceptable Use

Customer agrees not to:

• Use the Platform for any unlawful, harmful, or abusive purpose.
• Attempt to reverse-engineer, copy, or extract the underlying algorithms, models, or trade secrets.
• Resell, sublicense, or redistribute API access to third parties without becoming a licensed Operator.
• Upload data that infringes third-party intellectual property or violates applicable law.
• Interfere with or attempt to disrupt the Platform's infrastructure or other customers' access.
• Use automated scraping or systematic extraction of Platform outputs beyond normal API usage.

5. Fees, Quotas, and Payment

Fees are billed [monthly in advance / on consumption]. Overage beyond included quota is charged at [€X per 1,000 additional audits]. Failure to pay within 30 days may result in suspension of access. All fees are exclusive of VAT, which Customer is responsible for.

6. Rate Limits

API access is subject to rate limits appropriate to the Customer's tier. Rate limits are documented at [DOCS URL/rate-limits]. Provider may adjust rate limits with 30 days' notice.

7. Intellectual Property

Provider retains all intellectual property rights in the Platform, including algorithms, models, software, APIs, and documentation. Nothing in this Agreement transfers any ownership to Customer. Customer retains ownership of data it submits to the API. By using the API, Customer grants Provider a limited licence to process submitted data solely to deliver the service.

8. Confidentiality

Provider will treat Customer data, API usage metrics, and any non-public business information as confidential. Customer agrees not to disclose non-public technical details of the Platform to third parties. This obligation survives termination for 3 years.

9. Data Protection

Provider processes personal data in accordance with its Privacy Policy at [PRIVACY POLICY URL]. Where Provider processes personal data on behalf of Customer, the parties shall enter into a Data Processing Agreement. Provider acts as data controller for account data and as data processor for Customer-submitted API payloads. Both parties agree to comply with GDPR and applicable data protection legislation.

10. Service Levels

Provider will use commercially reasonable efforts to maintain API availability of [99.5%] measured monthly, excluding scheduled maintenance. API status is available at [STATUS PAGE URL].

11. Warranties and Disclaimers

Provider warrants that the API will perform materially as described in the documentation. The API is provided "as is" to the extent permitted by law. Provider does not warrant that the API will be uninterrupted or error-free. API outputs are provided for informational purposes and do not constitute professional engineering or legal advice. Customer is solely responsible for decisions made based on API outputs.

12. Limitation of Liability

To the maximum extent permitted by law, Provider's total liability under this Agreement shall not exceed the Fees paid by Customer in the 12 months preceding the claim. Neither party shall be liable for indirect, consequential, or punitive damages.

13. Term and Termination

This Agreement commences when Customer registers for direct API access and continues until terminated. Either party may terminate with 30 days' written notice. Provider may terminate immediately for material breach, non-payment, or violation of applicable law. Upon termination, Customer's API access ceases and all outstanding fees become immediately due. Customer data submitted via the API will be deleted after [30 / 90] days.

14. Becoming an Operator

Direct API customers who wish to offer the Platform to their own customers (i.e. act as a reseller or white-label provider) must apply to become a licensed Operator under a separate Operator Agreement. See the operator programme for details.

15. Amendments

Provider may amend these Terms with 30 days' written notice. Continued use of the API after the notice period constitutes acceptance of the amended terms.

16. Governing Law and Disputes

This Agreement is governed by the laws of Sweden. Any disputes shall be resolved by the courts of Stockholm, Sweden, as first instance. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
